01The agreement
These terms are a contract between you and Syvna Ltd ("Syvna", "we") for the use of syvna.com, the Syvna application and everything we provide through them (the "Service"). By creating a company on Syvna or using the Service you agree to them. If you are using the Service for an organisation, you confirm you can bind that organisation, and "you" means the organisation.
We may change these terms. If a change is material we will email the owner of your company at least 14 days before it takes effect. Continuing to use the Service after that date means you accept the change.
02What the Service is
Syvna lets you describe software in plain words and have AI agents build, test and operate it. Every app you create comes with its own database, user accounts, file storage, a connection to a payments provider you control, scheduled jobs and a change history.
The agents are software. They act on your instructions and within the limits you set. Certain actions (publishing, changing who can access data, deleting data, emailing your users, posting to social media) always wait for a human in your company to approve them. You are responsible for what you approve.
We are improving the Service continuously. Features may change, and we may add or retire plans. We will not remove a feature your paid plan depends on without notice and a reasonable alternative.
03Your account
You must be at least 18 to create a company on Syvna. Keep your sign-in details to yourself. You are responsible for activity under your account and for the people you invite to your company.
You may not use the Service to build or run anything unlawful, anything that infringes someone else's rights, anything designed to harm people or systems, or anything that sends unsolicited bulk messages. We may suspend an account that does, and we will tell you why.
04Your apps, data and content
Everything you put into Syvna and everything your agents build for you is yours: the code, the data in your databases, the files in your storage, the content of your apps. We claim no ownership of it.
You give us the licence we need to run the Service: to store, process, back up and transmit your content, and to let the agents read and change it on your instruction. We do not use your content to train models, and we do not sell it.
You can export your code and data at any time from your company settings. If you close your company we delete your content within 30 days, except where the law requires us to keep it longer.
05The people who use your apps
When your app has users, they are your customers, not ours. You are the controller of their data and responsible for your own terms, privacy notice and lawful basis for processing. We process their data only on your behalf, as described in our privacy policy and data processing terms.
06Plans, credits and payment
Free, Starter, Growth and Scale plans are described on the pricing page. Paid plans are billed monthly in advance. Credits are a unit of agent work; plan credits roll over month to month while your subscription is active, credits for failed agent runs are refunded automatically, and purchased top-up credits do not expire.
You can cancel at any time from your company settings. Cancellation takes effect at the end of the current billing period and we do not refund the remainder of a period, except where the law requires it. Prices may change; we will give paid customers at least 30 days' notice of a price increase.
Payments your apps collect from their users go through your own payments provider account. Syvna takes no share of them.
07Availability and support
We aim for the Service to be available continuously, but we do not promise it. Published apps are served around the clock; development previews sleep after inactivity. We may take the Service down for maintenance and will try to do so at quiet times with notice.
Support is by email for all plans, with the response times set out on the pricing page for Growth and Scale.
08Warranties and liability
The Service is provided as it is. Agents can make mistakes; test your apps and review what you approve. To the extent the law allows, we exclude all warranties not stated here.
To the extent the law allows, our total liability to you for any claim arising from the Service in any 12-month period is limited to the amount you paid us in that period, and we are not liable for indirect loss, loss of profit, loss of data you have not exported, or business interruption. Nothing in these terms limits liability for death, personal injury, fraud, or anything else that cannot be limited by law.
09Ending the agreement
You can close your company at any time. We can end the agreement with 30 days' notice, or immediately if you breach these terms in a way that is not fixed within 7 days of us telling you, or if we are required to by law. On ending, you can export your content for 30 days and then it is deleted.
10General
These terms are governed by the laws of England and Wales and the courts there have exclusive jurisdiction, except that you may bring a claim in your own country's courts where consumer law gives you that right. If any part of these terms is unenforceable the rest still applies. We may assign this agreement as part of a sale of our business; you need our consent to assign it.
